Terms of Service

These Terms of Service govern your access to and use of WorkDeve Inc. inverse marketplace architecture, Smart Escrow™ holding vaults, and communication hubs.

1. Acceptance of Terms & Account Provisioning

By registering an account, submitting a proposal, or posting a buyer brief on WorkDeve, you enter into a legally binding agreement with WorkDeve Inc. Users must be at least 18 years of age and hold full legal capacity to enter into corporate contracts.

2. Smart Escrow™ Vault & Milestone Funding

WorkDeve operates on a cryptographic multi-sig holding vault system. Before any contractor commences work on a brief, the client deposits 100% of the milestone budget into Escrow. Neither WorkDeve nor the client can unilaterally withdraw funds once locked.

Funds are released to the contractor's available ledger balance immediately upon client milestone approval or successful technical arbitration.

3. 0% Contractor Commission & Financial Clearing

WorkDeve charges 0% withdrawal commission to independent contractors utilizing Web3 direct routing. All negotiated bid amounts are credited 100% in full to the contractor's ledger. Platform operational costs are funded via institutional buyer protocol fees.

4. Intellectual Property (IP) & Non-Disclosure (NDA)

All source code, design systems, technical architecture, and documentation created by contractors under a funded milestone are automatically transferred to the client upon milestone approval and escrow settlement. Contractors retain no residual rights to delivered work.

5. Technical Arbitration & Dispute Resolution

If a dispute arises regarding deliverable quality or scope compliance, either party may initiate formal Arbitration via the Workspace Comm Hub. WorkDeve technical arbitrators audit chat logs, repository commits, and the signed Statement of Work (SOW) to issue binding milestone release verdicts.

6. Limitation of Liability & Account Termination

WorkDeve Inc. provides platform infrastructure as-is. Circumventing escrow protocols, submitting malicious deliverables, or violating international AML laws will result in immediate account termination and forfeiture of pending unverified balances.
